BOARD OF DIRECTORS’ MINUTES

June 2, 2004

 

Attending: Larry Velte, Tom Coldwell, Bernie Shinal, Armand Fournier, and Joe Meyer

Not Present: Dan Barney, John Ostrom

A special meeting of the Board of Kings Park West Community Association was held on Wednesday, June 2, 2004 at 7:30 p.m. at Robinson High School.

A quorum was present and Larry Velte called the meeting to order.

NEW BUSINESS

It was unanimously agreed to dispense with the reading of the May 26, 2004 Meeting Minutes.

RCS Management attended the meeting at the Board’s request in order to answer questions regarding their financial management proposal. RCS proposed to keep the cost to the Community Association reasonable by taking a no-frills approach, including quarterly versus monthly reports, not attending monthly Board or annual Membership meetings, etc. RCS services would include maintenance of a Member database, record of all income and expenses, disburse payments for expenses after Board approval, collect assessments, including mailing of initial assessments and follow-up notices, advise Board on past due assessments, maintain and distribute HOA packets and coordinate and assist the CPA with annual audit and tax return. RCS would not be responsible for covenant enforcement or for any collection action on late assessments.  The session lasted approximately one-half hour and was beneficial to the Board.

The Board discussed the status of legal opinions, including incorporation, changes to the By-Laws and HOA disclosure packets.

The Board discussed proposed revisions to the budget including, but not limited to the savings from the Civic Association’s offer to continue with common land maintenance. Joe Meyer made a motion to propose a maximum assessment of $50 to the Members on June 9 as detailed in the proposed budget. Larry Velte seconded the motion and the Board approved the motion.

The Board discussed the preparations for the June 9 meeting, including sign-in, status of proxies, and voting procedures.

The Secretary took possession of 12 envelopes containing proxies and mailings from the Members.

Tom Coldwell made a motion to adjourn the meeting. The motion was seconded by Armand Fournier and approved.

The meeting adjourned at 8:50 p.m.

The next KPWCA meeting is on June 9 at 7:30 P.M. at Robinson High School’s Gold Cafeteria; there will also be a June 23 Board meeting at 7:30 P.M. at Robinson High School’s Recital Hall.
